Terms of Service

1. Acceptance of Terms

By accessing or using Vency (vency.ai), operated by Insebia Technologies, LLC, you agree to be bound by these Terms of Service. If you do not agree to these terms, you may not use our services. These terms apply to all visitors, users, and others who access or use the platform.

2. Account Registration & Responsibilities

To use certain features of Vency, you must create an account. You agree to provide accurate, current, and complete information during registration and to keep your account information up to date. You are responsible for safeguarding your account credentials and for all activity that occurs under your account. You must notify us immediately of any unauthorized use of your account.

3. Subscription Plans, Billing & Credits

Vency offers Free, Starter, Plus, Pro, Team, Business, and Enterprise subscription tiers. Current pricing, included credits, and feature limits are listed on our pricing page (vency.ai/pricing) and may change from time to time. Paid subscriptions are billed on a recurring basis through our payment processor, Stripe.

Each plan includes a monthly allocation of credits used for AI-powered features. Credits reset at the beginning of each billing cycle and do not roll over. Additional credits may be available for purchase depending on your plan. Usage of AI tools deducts credits from your account based on the complexity and type of operation.

4. Acceptable Use Policy

You agree not to use Vency to:

  • Upload, generate, or distribute illegal, harmful, or offensive content
  • Infringe on intellectual property rights of others
  • Abuse, exploit, or reverse-engineer AI tools or platform features
  • Attempt to circumvent usage limits, credit systems, or access controls
  • Use automated scripts or bots to access the service without authorization
  • Distribute malware, spam, or engage in phishing activities
  • Violate any applicable local, national, or international law

We reserve the right to suspend or terminate accounts that violate this policy without prior notice.

5. Intellectual Property

You retain ownership of all content you create using Vency, including AI-generated outputs produced from your inputs. By using the platform, you grant Insebia Technologies, LLC a limited, non-exclusive license to process your content solely for the purpose of providing the service.

The Vency platform, including its design, code, branding, and proprietary tools, is the property of Insebia Technologies, LLC and is protected by applicable intellectual property laws. You may not copy, modify, or distribute any part of the platform without written permission.

6. Service Availability & Modifications

We strive to maintain high availability but do not guarantee uninterrupted access to the platform. We may modify, suspend, or discontinue any part of the service at any time with reasonable notice. We are not liable for any downtime, data loss, or service interruptions.

We reserve the right to update these terms, pricing, features, and credit allocations. Material changes will be communicated via email or in-app notification. Continued use of the service after changes constitutes acceptance of the updated terms.

7. File Transfer & Storage

Vency provides file transfer capabilities with temporary cloud storage. Files are stored on Cloudflare R2 infrastructure. Storage limits, file size restrictions, and link expiry periods vary by subscription plan. We do not guarantee permanent storage of transferred files and are not liable for data loss after link expiry.

8. Termination

You may terminate your account at any time by canceling your subscription and deleting your account through the platform settings. We may terminate or suspend your account for violations of these terms, non-payment, or at our discretion with reasonable notice. Upon termination, your right to use the service ceases immediately, and any remaining credits are forfeited.

9. Limitation of Liability

To the maximum extent permitted by law, Insebia Technologies, LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities, arising from your use of or inability to use the service.

Our total liability for any claims related to the service shall not exceed the amount you paid to us in the twelve (12) months preceding the claim. The service is provided "as is" and "as available" without warranties of any kind, either express or implied.

10. Governing Law

These terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of laws principles. Any disputes arising from these terms or your use of Vency shall be subject to the exclusive jurisdiction of the state and federal courts located in Delaware.
